End User License Agreement (EULA)

1. License Grant

Subject to payment of applicable fees and compliance with this EULA, CLOUDPAGE LLC grants you a limited, non-exclusive, non-transferable and revocable license to use the Software in accordance with its documentation and the contracted purposes.

For SaaS-type Software, the license is granted for the subscribed period and for the Client's internal use.

2. Restrictions

You may not:

• ▸Copy, modify, adapt or create derivative works of the Software.
• ▸Reverse engineer, decompile or attempt to obtain the source code, except as permitted by applicable law.
• ▸Distribute, rent, lease, sublicense or resell the Software.
• ▸Circumvent or disable technical or license protection measures.
• ▸Use the Software for illegal activities or in violation of the Prohibited Use Policy.

3. Intellectual Property

The Software, including its code, design, trademarks, documentation and proprietary components, is the property of CLOUDPAGE LLC or its licensors and is protected by intellectual property laws.

This EULA does not transfer any ownership. All rights not expressly granted are reserved to CLOUDPAGE LLC.

When the Client commissions custom development and has paid the full price, ownership of the final delivered product will transfer to the Client as agreed in the development agreement, without prejudice to CLOUDPAGE's reusable components and tools.

4. Artificial Intelligence Outputs

To the extent the Software includes AI functionality, generated outputs are provisional, automated and may contain errors, bias or hallucinations.

The Client is responsible for reviewing and validating AI outputs before using them in its operation, and for complying with applicable laws (data protection, advertising, copyright).

Ownership of generated outputs will be governed by the applicable services agreement; CLOUDPAGE does not claim ownership over the Client's original works created through the Software.

5. Open-Source Components

The Software may incorporate open-source components subject to their own licenses. Such licenses prevail over this EULA to the extent necessary and will be indicated in the Software documentation.

6. Support and Maintenance

The scope of technical support and maintenance of the Software is defined in the applicable services agreement or plan.

Bugs and defects will be managed in accordance with the contracted plan. Updates and enhancements may require an active maintenance plan.

7. Disclaimers and Limitation of Liability

The Software is provided "as is". CLOUDPAGE LLC does not warrant that the Software is free of errors, operates without interruption or is suitable for the Client's specific purposes.

To the maximum extent permitted by law, CLOUDPAGE LLC's liability for claims arising from the Software will be limited to the fees paid by the Client in the twelve (12) months preceding the claim.

8. Termination

This EULA will remain in effect while the Software is used or until terminated.

Breach of this EULA may result in the immediate termination of the license and suspension of access to the Software.

The intellectual property, disclaimers, limitation of liability and governing law provisions will survive termination.

9. Governing Law

This EULA shall be governed by the laws of the State of Florida, United States. Any dispute shall be subject to the exclusive jurisdiction of the competent courts of Miami-Dade County, Florida.
